These Terms of Service ("Terms") govern your access to and use of the Promptly AI website and platform (the "Services"). By using the Services, you agree to these Terms. If you are using the Services on behalf of an organization, you represent that you are authorized to bind that organization.
1. Acceptance of terms
By accessing or using the Services, you agree to be bound by these Terms and any policies referenced here, including our Privacy Policy. If you do not agree, do not use the Services.
2. Accounts and eligibility
You must provide accurate information and keep your credentials secure. You are responsible for activity under your account. You must be able to form a binding contract to use the Services.
3. Acceptable use
You agree not to:
- Use the Services in violation of applicable law or third-party rights.
- Attempt to gain unauthorized access to the Services or related systems.
- Interfere with or disrupt the integrity or performance of the Services.
- Reverse engineer the Services except as permitted by law.
- Use the Services to generate unlawful, harmful, or abusive content.
4. Customer data and ownership
As between the parties, you retain all rights to the content and data you provide ("Customer Data"). In on-premise and private cloud deployments, Customer Data remains entirely within your environment and Promptly AI does not access or process it. In the Managed Cloud (coming soon), you grant us a limited license to process Customer Data solely to provide and support the Services, as further described in our Data Processing Addendum. In all cases, we do not use Customer Data to train publicly available AI models.
5. Intellectual property
The Services, including all software, design, and documentation, are owned by Promptly AI and its licensors. Subject to these Terms, we grant you a non-exclusive, non-transferable right to use the Services during your subscription.
6. Third-party services and AI models
The Services let you connect third-party data sources and AI model providers. Your use of those services is governed by their terms, and you are responsible for the credentials and configurations you provide. AI outputs may be inaccurate; you are responsible for reviewing outputs before relying on them.
7. Fees and payment
Paid plans are billed according to the plan or order you select. Fees are non-refundable except as required by law or expressly stated. We may change pricing prospectively with reasonable notice.
8. Warranties and disclaimers
The Services are provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
9. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, and our aggregate liability arising out of the Services will not exceed the amounts paid by you for the Services in the twelve months preceding the claim.
10. Indemnification
You agree to indemnify and hold Promptly AI harmless from claims arising out of your Customer Data, your use of the Services in breach of these Terms, or your violation of law or third-party rights.
11. Term and termination
These Terms apply while you use the Services. Either party may terminate as set out in the applicable order or for material breach. Upon termination, your right to use the Services ends and we will make Customer Data available for export for a limited period before deletion.
12. Governing law
These Terms are governed by the laws of the jurisdiction stated in your order or, if none, the jurisdiction in which Promptly AI is established, without regard to conflict-of-laws rules.
13. Changes to these terms
We may update these Terms from time to time. We will post the updated version here and revise the "Last updated" date. Continued use after changes take effect constitutes acceptance.
